In consideration of being given access to Smithers Material Sciences and Engineering Inc. / Smithers Tire & Automotive Testing, Inc. (collectively, “Smithers”) facilities, you, as a visitor and authorized representative of your company, agree to the following:

1. You agree that you will not, without the written consent of Smithers, disclose to any person any and all confidential information acquired during the course of your visits to Smithers except, in each case, that which is already published or public knowledge or becomes published or public knowledge through no fault of your own. Confidential information is information that is not generally available to the public and/or not owned by you or your company.
2. You recognize the responsibility Smithers has to itself and its clients to maintain confidentiality of all Smithers’ and clients’ testing vehicles and procedures. In order to protect our clients from the accidental disclosure of their proprietary information and activities, the use of cameras or other photographic or video equipment will only be permitted while in the presence of an authorized Smithers representative. Photographs and/or video segments to be used and/or published will require the expressed written consent from an officer of Smithers.
3. You acknowledge that Smithers do not allow the use of their name, trademark(s), and/or logos to be contained in advertising and/or promotional material including published newspaper and/or magazine articles without their prior written authorization, which they may withhold at their sole and absolute discretion.
4. You shall be responsible for following all instructions relating to the facility given to you by Smithers, and complying with all applicable laws related to the facility. You hereby assume all risks and release and agree to indemnify and hold Smithers, its subsidiaries, officers, agents, or employees harmless from any and all liability, including bodily injury, death, or property damage, arising or in any way connected to your activities while at the facility.
5. You understand that all passengers riding in your vehicle must have viewed Smithers orientation video and signed an “AGREEMENT OF VISITOR TO SMITHERS PEARSALL TEST CENTER FACILITY” waiver before entering any part of the facility.
